TERMS AND CONDITIONS OF SALE

Article 1 : To place an order / Orders

The customer unreservedly accepts these terms and conditions of sale and delivery for each order received by IDBiotech. To avoid any errors when placing orders, please provide the following information on the order forms:

Catalog number and complete description for each product

Quantity of each product ordered

Purchase (internal) order number

Desired delivery date

“Bill to” and “Ship to” addresses

Contact name and phone number

Your customer number (if applicable)

Your quote reference number (if applicable) We decline all responsibility for any error in delivery due to an error in information given. Each order by telephone must be confirmed in writing with the date and the customer’s signature (letter, fax or e-mail) Orders may be placed by any of the following methods:

Article 2 : Prices

All our prices are quoted excluding VAT (19,6% if applicable)

Unless stated otherwise, transport costs are borne by the customer and are billed as follow:

Flat fee of 20 euros excl. taxes for all packages under 5 Kg within metropolitan France

Flat fee of 48 euros excl. Taxes for all packages under 4 kg to the European Union

Cost price excl. Taxes for all packages to other areas or over 5 kg within metropolitan France or over 4 kg to the European Union. All prices are subject to change without notice. Please contact us for current prices if you require this information prior to placing your order. When placing your order, please reference our quoted prices.

Article 3 : Delivery lead time / Shipping and product lead time

The following delivery lead time are given in good faith, but with no guarantee. Under no circumstances are they strict lead times:

Products in stock: 48 hours (for metropolitan France only)

Products not available in stock: depending of the manufacturing lead time (3 weeks average)

Late delivery will not, under any circumstances, incur order cancellation or payment of any form of damages or compensation.

Please check by phone the availability of the required product. Delivery times depend on the product availability and on the shipping country. Most products are shipped within 15 days of order receipt.

Article 4 : Taxes and other charges

Any use tax, sales tax, excise tax, duty, custom, inspection or testing fee, or any other tax, fee or charge of any nature whatsoever imposed by any governmental authority, on or measured by the transaction between Seller and Buyer shall be paid by Buyer in addition to the prices quoted or invoiced. In the event Seller is required to pay any such tax, fee or charge, Buyer shall reimburse Seller therefore; or, in lieu of such payment, Buyer shall provide Seller at the time the order is submitted an exemption certificate or other document acceptable to the authority imposing the tax, fee or charge.

Article 5 : Receipt of goods

The goods are shipped to the customer at his/her own risk. Therefore the customer should:

check the condition and quantity of the products at the time of receipt, opening any package deemed suspicious, if necessary in the presence of the person delivering.

formulate reservations in writing, on the delivery receipt in the event of damaged or missing goods, specifying the exact nature and extent of the damage and confirm these reservations by registered letter to the last transporter within three working days after delivery and inform ID BIOTECH. Failure to observe these formalities prevents the possibility of taking action against the transporter.

Article 6 : Payment

Terms of sale are net 30 days of date of invoice, unless otherwise stated, no discount allowed, payable by cheque accepted in France or by bank transfer, unless otherwise agreed in writing and signed by the parties involved. All products remain the property of IDBiotech until all due amounts are paid in full. Our company reserves the right to use any means necessary to recover or have recovered the goods in the event of non payment. Any amount remaining unpaid after the due date will incur penalties equaling one and a half times the legal interest rate (law n°92-1442 of 31st December 1992).

Article 7 : Responsability and Guarantees

Our reagents are intended for use in vitro. In the event of a complaint, returned goods will not be accepted without the Company’s prior consent. We will replace any goods that are confirmed defective by our service of inspection. Only the Clermont-Ferrand courts are competent and only French law is valid to deal with any disagreement or litigation.

Article 8 : Buyer’s use of products

Our products are intended for laboratory use only. Article 8 : Return items No return accepted without prior authorization of IDBiotech. The defective nature of products must have been confirmed by IDbiotech before credit will be issued. Credit is issued after receipt of the returned defective items.
